Terms of Service

1. Provider

Vendrail is operated by Egységmester Kft. (Egységmester Korlátolt Felelősségű Társaság), registered seat: 2330 Dunaharaszti, Gyóni Géza köz 8, Hungary; company registration number: 13-09-162959; tax number: 24291608-2-13; contact: hello@practicalapps.studio.

2. Service description

Vendrail is a fully automated SaaS product that monitors checkout availability on WooCommerce online stores. The service runs scheduled browser-based checkout checks and sends automated technical alerts and reports when the cart, checkout, shipping, coupon, or payment-option flow fails. Vendrail does not process payments, act as a marketplace, or provide individual consulting services.

3. Eligibility and account

You must be at least 18 years old and legally able to enter into contracts to use Vendrail. You are responsible for maintaining the confidentiality of your account credentials. You may not share your account with third parties or use the service for any unlawful purpose.

4. Subscriptions and payment

Paid plans are billed monthly or annually in advance. Prices shown on the pricing page exclude applicable VAT/GST; the final tax-inclusive amount is shown in Stripe Checkout before you confirm payment. Subscriptions renew automatically unless cancelled before the renewal date. Egységmester Kft. reserves the right to change pricing with 30 days' notice.

Stripe as Merchant of Record: Payment processing, tax calculation, collection, and remittance to the relevant tax authorities is handled by Stripe, Inc. acting as Merchant of Record under Stripe's Managed Payments programme. By completing checkout you also agree to Stripe's Services Agreement. Egységmester Kft. is the service provider; Stripe is the reseller and collects payment on your invoice.

5. Cancellation and right of withdrawal

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.

EU consumer right of withdrawal: If you are a consumer located in the EU, you have the right to withdraw from this contract within 14 days of sign-up without giving a reason. By starting the subscription you expressly request that we begin performance immediately, and you acknowledge that you will lose your right of withdrawal once the service has been fully performed. This applies under Art. 16(a) of Directive 2011/83/EU for the service element and, to the extent the subscription is treated as supply of digital content/services not on a tangible medium, under Art. 16(m) of the same Directive. This consent and acknowledgement are confirmed by you at checkout. If the service has not yet been fully performed, partial-use refunds are handled in line with Art. 14(3); contact hello@practicalapps.studio.

6. Acceptable use

You must not:

• Submit URLs of stores you do not own or have explicit permission to monitor.
• Use the service to circumvent security measures of any online store.
• Reverse-engineer, scrape, or disrupt the Vendrail platform.
• Resell or sublicense the service without written consent.

7. Intellectual property

All rights in the Vendrail platform, code, and documentation belong to Egységmester Kft. You retain ownership of your store data. You grant Egységmester Kft. a limited licence to process your store data solely to deliver the service.

8. Disclaimer and limitation of liability

The service is provided "as is" and "as available", without warranties of any kind, express or implied. Egységmester Kft. does not guarantee uninterrupted or error-free operation, nor that every checkout failure will be detected.

To the maximum extent permitted by applicable law, Egységmester Kft. shall not be liable for any indirect, consequential, incidental, special, or exemplary or punitive damages, nor for any loss of profits, revenue, anticipated savings, data, goodwill, business, or business opportunities, or any business interruption, in each case whether or not foreseeable and regardless of the form of action or theory of liability.

To the maximum extent permitted by applicable law, Egységmester Kft.'s total aggregate liability for all claims arising out of or relating to the service or these Terms is limited to the total fees actually paid by you to Egységmester Kft. in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for wilful misconduct, for gross negligence where it cannot be excluded, for death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under mandatory Hungarian or EU law. Nothing in this section limits any liability or rights that cannot be limited or excluded under mandatory consumer-protection law where the customer is a consumer.

9. B2B vs. B2C

If you are using Vendrail in the course of a business, trade, or profession ("B2B"), you confirm that the liability limitation in §8 and the subscription non-refundability in §5 apply without any consumer carve-out. If you are a natural person acting outside a business context ("consumer" under EU law), mandatory consumer-protection rights in your country of residence remain unaffected by these Terms.

10. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Hungary, without regard to conflict-of-law principles. Disputes shall be submitted to the exclusive jurisdiction of the competent courts of Hungary, except where mandatory consumer-protection law in your country of residence grants you the right to bring proceedings locally.

EU Online Dispute Resolution (ODR): If you are a consumer in the EU, you may use the European Commission's ODR platform at https://ec.europa.eu/consumers/odr. Egységmester Kft. is not currently enrolled in any alternative dispute resolution body but will cooperate in good faith.

11. Changes to these Terms

Egységmester Kft. may update these Terms. Material changes will be notified by e-mail at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
